These Terms govern all buyers and sellers using Vorsa Marketplace. By registering or using the Platform, you agree to be legally bound by these Terms in accordance with applicable laws of Bangladesh.

Introduction
Vorsa Marketplace ("Vorsa", "প্ল্যাটফর্ম", "আমরা") একটি বাংলাদেশ-ভিত্তিক অনলাইন ফ্রিল্যান্স মার্কেটপ্লেস যা ক্রেতা ও দক্ষ ফ্রিল্যান্সারদের সংযুক্ত করে। Vorsa নিজে সেবা প্রদানকারী নয়; এটি একটি মধ্যস্থতা প্ল্যাটফর্ম।
Vorsa Marketplace ("Vorsa", "Platform", "we", "us") is a Bangladesh-based online marketplace connecting buyers with skilled freelancers. Vorsa acts as an intermediary platform and is not itself a service provider.
এই শর্তাবলী বাংলাদেশের প্রযোজ্য আইন, বিশেষত তথ্য ও যোগাযোগ প্রযুক্তি আইন ২০০৬, ডিজিটাল নিরাপত্তা আইন ২০১৮, চুক্তি আইন ১৮৭২ এবং ভোক্তা অধিকার সংরক্ষণ আইন ২০০৯ মেনে প্রণীত।
These Terms are drafted in compliance with applicable Bangladeshi laws, including the ICT Act 2006, Digital Security Act 2018, Contract Act 1872, and Consumer Rights Protection Act 2009.

যোগ্যতা
Eligibility
- •বয়স: কমপক্ষে ১৮ বছর হতে হবে।Age: Must be at least 18 years old.
- •আইনি সক্ষমতা: বাংলাদেশের চুক্তি আইন ১৮৭২ অনুযায়ী চুক্তি করার আইনি সক্ষমতা থাকতে হবে।Legal capacity: Must be legally capable of entering into contracts under the Bangladesh Contract Act, 1872.
- •পরিচয় যাচাই: বৈধ জাতীয় পরিচয়পত্র (NID), জন্ম নিবন্ধন সনদ বা পাসপোর্ট দিয়ে নিবন্ধন আবশ্যক।Identity verification: Registration requires a valid National ID (NID), Birth Certificate, or Passport.
- •নিষেধাজ্ঞামুক্ত: বাংলাদেশ সরকার কর্তৃক নিষেধাজ্ঞাপ্রাপ্ত বা অযোগ্য ঘোষিত ব্যক্তি বা প্রতিষ্ঠান অ্যাকাউন্ট খুলতে পারবে না।Not sanctioned: Individuals or entities sanctioned or declared ineligible by the Government of Bangladesh may not register.
- •একটি অ্যাকাউন্ট: প্রতি ব্যক্তি বা প্রতিষ্ঠান শুধুমাত্র একটি অ্যাকাউন্ট পরিচালনা করতে পারবে।One account: Each person or entity may operate only one account on the Platform.
অ্যাকাউন্ট নিবন্ধন ও নিরাপত্তা
Account Registration & Security
নিবন্ধনের সময় সঠিক ও সত্য তথ্য প্রদান বাধ্যতামূলক। মিথ্যা তথ্য দিলে অ্যাকাউন্ট বাতিল করা হবে।
Accurate and truthful information is mandatory during registration. Providing false information will result in account termination.
অ্যাকাউন্টের পাসওয়ার্ড ও নিরাপত্তার সম্পূর্ণ দায়িত্ব ব্যবহারকারীর নিজের। অননুমোদিত প্রবেশের সন্দেহ হলে অবিলম্বে Vorsa-কে জানাতে হবে।
Users are solely responsible for the security of their account credentials. Any suspected unauthorized access must be reported to Vorsa immediately.
Vorsa যেকোনো সময় কারণ দর্শিয়ে বা বিশেষ ক্ষেত্রে কারণ না দর্শিয়ে যেকোনো অ্যাকাউন্ট স্থগিত বা বাতিল করার অধিকার সংরক্ষণ করে, বিশেষত শর্তাবলী লঙ্ঘনের ক্ষেত্রে।
Vorsa reserves the right to suspend or terminate any account at any time, with or without notice, particularly in cases of Terms violation.

Buyer Terms
অর্ডার প্রক্রিয়া / Order Process
- •ক্রেতা গিগ নির্বাচন করে অর্ডার প্রদান করবেন এবং সম্পূর্ণ পেমেন্ট এস্ক্রোতে জমা করবেন।Buyers select a Gig, place an Order, and deposit the full payment into escrow.
- •বিক্রেতা অর্ডার গ্রহণের পর নির্ধারিত সময়ের মধ্যে কাজ ডেলিভার করবেন।After the Seller accepts the Order, they must deliver within the agreed timeframe.
- •ডেলিভারি পাওয়ার পর ক্রেতাকে ৩ (তিন) কার্যদিবসের মধ্যে গ্রহণ বা বিবাদ জানাতে হবে। এই সময়ের মধ্যে কোনো সাড়া না পেলে অর্ডার স্বয়ংক্রিয়ভাবে সম্পন্ন হবে।Buyers have 3 business days after delivery to accept or raise a dispute. If no action is taken, the Order auto-completes.
বাতিল ও ফেরত / Cancellation & Refunds
- •বিক্রেতা অর্ডার গ্রহণ না করলে ক্রেতা সম্পূর্ণ অর্থ ফেরত পাবেন।If the Seller does not accept the Order, the Buyer receives a full refund.
- •কাজ শুরু হওয়ার আগে পারস্পরিক সম্মতিতে অর্ডার বাতিল করা যাবে।Orders may be mutually cancelled by both parties before work begins.
- •ডেলিভারি পর্যায়ে বিবাদের ক্ষেত্রে Vorsa অ্যাডমিন মধ্যস্থতা করবে এবং পরিস্থিতি অনুযায়ী আংশিক বা সম্পূর্ণ ফেরত দেওয়া হতে পারে।For disputes at delivery, Vorsa admin mediates and may issue a partial or full refund based on the circumstances.
- •অর্ডার সম্পন্ন বা স্বীকৃত হলে পেমেন্ট ফেরতযোগ্য নয়, যদি না Vorsa বিবাদ সমাধানের অংশ হিসেবে সিদ্ধান্ত নেয়।Once an Order is completed or auto-accepted, payments are non-refundable unless Vorsa determines otherwise through dispute resolution.
রিভিউ ও রেটিং / Reviews & Ratings
ক্রেতা সততার সাথে রেটিং ও রিভিউ দিতে পারবেন। মিথ্যা বা ক্ষতিকর রিভিউ প্রদান বা বিক্রেতাকে হুমকি দেওয়া নিষিদ্ধ এবং অ্যাকাউন্ট বাতিলযোগ্য।
Buyers may leave honest reviews and ratings. Posting false, malicious reviews or threatening Sellers is prohibited and may result in account termination.

Seller Terms
গিগ তৈরি / Gig Creation
- •গিগে সেবার স্পষ্ট ও সঠিক বিবরণ, মূল্য, ডেলিভারি সময় এবং প্যাকেজ উল্লেখ করতে হবে।Gigs must include a clear and accurate description, pricing, delivery time, and package details.
- •বিক্রেতা শুধুমাত্র সেই সেবাই অফার করতে পারবেন যা তিনি নিজে সম্পাদন করতে সক্ষম।Sellers may only offer services they are personally capable of delivering.
- •Vorsa প্রয়োজনে যেকোনো গিগ পর্যালোচনা করতে এবং নীতিমালা লঙ্ঘনে সরিয়ে নিতে পারবে।Vorsa reserves the right to review and remove any Gig that violates platform policies.
ডেলিভারি ও সম্পন্নকরণ / Delivery & Completion
- •বিক্রেতাকে নির্ধারিত সময়ের মধ্যে কাজ ডেলিভার করতে হবে। বিলম্বের ক্ষেত্রে ক্রেতাকে আগে থেকে জানাতে হবে।Sellers must deliver within the agreed timeframe. Delays must be communicated to the Buyer in advance.
- •ডেলিভারিতে অর্ডারের সমস্ত নির্দিষ্ট কাজ অন্তর্ভুক্ত থাকতে হবে।Delivery must include all specified deliverables as per the Order requirements.
কমিশন ও পেমেন্ট / Commission & Payout
- •প্রতিটি সম্পন্ন অর্ডারের মোট মূল্য থেকে ৫% প্ল্যাটফর্ম ফি কাটা হবে।A 5% platform fee is deducted from the total value of each completed Order.
- •অবশিষ্ট ৯৫% বিক্রেতার ওয়ালেটে জমা হবে এবং bKash, Nagad বা ব্যাংক ট্রান্সফারের মাধ্যমে উত্তোলন করা যাবে।The remaining 95% is credited to the Seller's wallet and may be withdrawn via bKash, Nagad, or bank transfer.
- •ন্যূনতম উত্তোলনের পরিমাণ ৳৫০০ (পাঁচশত টাকা)। প্রক্রিয়াকরণ সময়: ২–৫ কার্যদিবস।Minimum withdrawal amount: BDT 500. Processing time: 2–5 business days.
কর দায় / Tax Obligations
বিক্রেতা বাংলাদেশের জাতীয় রাজস্ব বোর্ড (NBR)-এর নিয়ম অনুযায়ী নিজের আয়করের দায়িত্ব বহন করবেন। বার্ষিক আয় ৳৩,৫০,০০০ অতিক্রম করলে আয়কর প্রযোজ্য হবে। Vorsa কর কর্তৃপক্ষের কাছে বিক্রেতার আয়ের তথ্য প্রদান করতে আইনত বাধ্য হতে পারে।
Sellers are solely responsible for their own income tax obligations as per Bangladesh National Board of Revenue (NBR) regulations. Income exceeding BDT 3,50,000 per year is subject to income tax. Vorsa may be legally required to disclose seller earnings to tax authorities.

গৃহীত পেমেন্ট পদ্ধতি / Accepted Payment Methods
- •SSLCommerz-এর মাধ্যমে ভিসা, মাস্টারকার্ড, ডেবিট কার্ডVisa, Mastercard, and debit cards via SSLCommerz
- •bKash (মোবাইল ব্যাংকিং)bKash (Mobile Financial Service)
- •Nagad (মোবাইল ব্যাংকিং)Nagad (Mobile Financial Service)
- •নেট ব্যাংকিং (নির্বাচিত ব্যাংক)Internet banking (select banks)
সকল পেমেন্ট বাংলাদেশ ব্যাংকের পেমেন্ট সিস্টেম বিভাগের নির্দেশিকা এবং MFS (মোবাইল ফাইন্যান্সিয়াল সার্ভিস) নীতি মেনে প্রক্রিয়া করা হয়।
All payments are processed in compliance with Bangladesh Bank's Payment System Department guidelines and Mobile Financial Services (MFS) regulations.
এস্ক্রো প্রক্রিয়া / How Escrow Works
- ক্রেতা অর্ডার করলে পেমেন্ট Vorsa এস্ক্রোতে জমা হয়। (Buyer places Order → payment held in Vorsa escrow)
- বিক্রেতা কাজ ডেলিভার করেন। (Seller delivers the work)
- ক্রেতা সন্তুষ্ট হলে অ্যাপ্রুভ করেন — এস্ক্রো থেকে বিক্রেতার ওয়ালেটে পেমেন্ট ছাড়া হয়। (Buyer approves → funds released to Seller's wallet)
- ক্রেতা ৩ দিনের মধ্যে সাড়া না দিলে অর্ডার স্বয়ংক্রিয়ভাবে সম্পন্ন হয়। (No Buyer response within 3 days → auto-release)
- বিবাদ হলে Vorsa অ্যাডমিন মধ্যস্থতা করেন। (Dispute raised → Vorsa admin mediates)
মুদ্রা / Currency
সকল লেনদেন বাংলাদেশি টাকায় (BDT, ৳) পরিচালিত হবে।
All transactions are conducted in Bangladeshi Taka (BDT, ৳).
বিরোধ নিষ্পত্তি
Dispute Resolution
ক্রেতা ডেলিভারি পাওয়ার ৩ কার্যদিবসের মধ্যে বিবাদ জানাতে পারবেন। বিবাদ জানানোর পর এস্ক্রো ফান্ড ফ্রিজ থাকবে।
Buyers may raise a dispute within 3 business days of receiving delivery. Escrow funds remain frozen during the dispute period.
- •প্রথম ধাপ: উভয় পক্ষ সরাসরি আলোচনার মাধ্যমে সমাধানের চেষ্টা করবেন।Step 1: Both parties attempt resolution through direct communication.
- •দ্বিতীয় ধাপ: সমাধান না হলে Vorsa অ্যাডমিন টিম মধ্যস্থতা করবে এবং উভয় পক্ষের প্রমাণ পর্যালোচনা করবে।Step 2: If unresolved, Vorsa admin team mediates and reviews evidence from both parties.
- •তৃতীয় ধাপ: Vorsa অ্যাডমিনের সিদ্ধান্ত চূড়ান্ত — আংশিক ফেরত, সম্পূর্ণ ফেরত বা বিক্রেতার পেমেন্ট ছাড়ের আদেশ দেওয়া হতে পারে।Step 3: Vorsa admin decision is final — a partial refund, full refund, or release to Seller may be ordered.
বিবাদের সিদ্ধান্তের বিরুদ্ধে কোনো আইনি প্রতিকারের অধিকার সংরক্ষণ করা হয়, তবে প্ল্যাটফর্মের মধ্যস্থতা সম্পন্ন না হলে আদালতে যাওয়া নিরুৎসাহিত করা হয়।
Parties retain the right to seek legal remedies, however, approaching courts without first exhausting platform mediation is discouraged.
মেধাস্বত্ব
Intellectual Property
সম্পন্ন অর্ডারের কাস্টম কাজের মেধাস্বত্ব বিক্রেতার কাছে থাকে যতক্ষণ না সম্পূর্ণ পেমেন্ট ছাড় হয়। পেমেন্ট ছাড় হলে মেধাস্বত্ব ক্রেতার কাছে হস্তান্তর হয়।
Intellectual property of custom deliverables remains with the Seller until full payment is released. Upon payment release, IP transfers to the Buyer.
তৃতীয় পক্ষের কপিরাইট, ট্রেডমার্ক বা পেটেন্ট লঙ্ঘন করে এমন কোনো কাজ গিগে অফার করা বা ডেলিভার করা কঠোরভাবে নিষিদ্ধ। এই ধরনের লঙ্ঘনের সম্পূর্ণ দায় বিক্রেতার।
Offering or delivering work that infringes third-party copyrights, trademarks, or patents is strictly prohibited. Full liability for such infringement rests with the Seller.
Vorsa-এর নাম, লোগো, ট্রেডমার্ক এবং প্ল্যাটফর্মের সমস্ত কোড ও ডিজাইন Vorsa-এর একচেটিয়া মেধাস্বত্ব।
Vorsa's name, logo, trademarks, and all platform code and design are the exclusive intellectual property of Vorsa.
নিষিদ্ধ কার্যক্রম
Prohibited Activities
নিম্নলিখিত কার্যক্রম কঠোরভাবে নিষিদ্ধ এবং অ্যাকাউন্ট বাতিল ও আইনি ব্যবস্থার কারণ হতে পারে:
The following activities are strictly prohibited and may result in account termination and/or legal action:
- •বেআইনি পণ্য বা সেবা অফার করা (মাদক, অস্ত্র, জাল দলিল ইত্যাদি)Offering illegal goods or services (drugs, weapons, forged documents, etc.)
- •অশ্লীল বা পর্নোগ্রাফিক কন্টেন্ট — ডিজিটাল নিরাপত্তা আইন ২০১৮ এর ২৫ ধারা লঙ্ঘনObscene or pornographic content — violation of Digital Security Act 2018, Section 25
- •ঘৃণামূলক, সাম্প্রদায়িক বা উস্কানিমূলক বক্তব্য বা কন্টেন্টHate speech, communal incitement, or inflammatory content
- •হ্যাকিং, ম্যালওয়্যার বা সাইবার আক্রমণ সংক্রান্ত সেবা — ICT আইন ২০০৬ লঙ্ঘনHacking, malware, or cyberattack-related services — violation of ICT Act 2006
- •অন্য ব্যক্তির পরিচয় চুরি বা ছদ্মবেশ ধারণIdentity theft or impersonation of another person
- •প্ল্যাটফর্মের বাইরে পেমেন্ট সম্পন্ন করতে প্ররোচনা (ফি এড়ানোর জন্য)Soliciting off-platform payments to circumvent platform fees
- •স্প্যাম, ফিশিং বা প্রতারণামূলক যোগাযোগSpam, phishing, or fraudulent communications
- •রিভিউ কারসাজি বা কৃত্রিম রেটিং বাড়ানোReview manipulation or artificial rating inflation
- •মানি লন্ডারিং বা অবৈধ উপায়ে অর্থ লেনদেনMoney laundering or illegal financial transactions

তথ্যের ব্যবহার / Data Use
- •সেবা প্রদান, পেমেন্ট প্রক্রিয়াকরণ ও বিবাদ নিষ্পত্তিService delivery, payment processing, and dispute resolution
- •পরিচয় যাচাই ও জালিয়াতি প্রতিরোধIdentity verification and fraud prevention
- •প্ল্যাটফর্ম উন্নয়ন ও ব্যক্তিগতকৃত অভিজ্ঞতাPlatform improvement and personalized experience
- •বাংলাদেশের প্রযোজ্য আইন মেনে কর্তৃপক্ষকে তথ্য প্রদান (প্রয়োজনে)Disclosure to authorities when legally required under Bangladesh law
Vorsa তৃতীয় পক্ষের কাছে ব্যক্তিগত তথ্য বিক্রি করে না। আমাদের সার্ভার বাংলাদেশে অবস্থিত।
Vorsa does not sell personal data to third parties. Our servers are located in Bangladesh.
দায়বদ্ধতার সীমা
Limitation of Liability
Vorsa একটি মধ্যস্থতা প্ল্যাটফর্ম। বিক্রেতার সেবার মান, সঠিকতা বা পেশাদারিত্বের জন্য Vorsa দায়বদ্ধ নয়।
Vorsa is an intermediary platform. Vorsa is not liable for the quality, accuracy, or professionalism of services provided by Sellers.
প্রযুক্তিগত ত্রুটি, সার্ভার ডাউনটাইম বা তৃতীয় পক্ষের পেমেন্ট সিস্টেমের ব্যর্থতার কারণে সৃষ্ট ক্ষতির জন্য Vorsa-এর দায় সর্বোচ্চ সংশ্লিষ্ট অর্ডারের মূল্য পর্যন্ত সীমাবদ্ধ।
Vorsa's total liability for technical failures, server downtime, or third-party payment system errors is limited to the value of the specific Order in question.
পরোক্ষ ক্ষতি, হারানো মুনাফা বা ব্যবসায়িক সুযোগ হ্রাসের জন্য Vorsa কোনোভাবে দায়বদ্ধ নয়।
Vorsa is not liable for indirect damages, lost profits, or loss of business opportunity under any circumstances.
প্রযোজ্য আইন ও বিচার এখতিয়ার
Governing Law & Jurisdiction
এই শর্তাবলী গণপ্রজাতন্ত্রী বাংলাদেশের আইন অনুযায়ী পরিচালিত ও ব্যাখ্যা করা হবে।
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
এই শর্তাবলী থেকে উদ্ভূত যেকোনো বিবাদের জন্য ঢাকার আদালতের একচেটিয়া বিচার এখতিয়ার প্রযোজ্য হবে।
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
